EXPRESSION OF INTEREST FOR THE PROVISION OF PROJECT PRINCIPAL (SENIOR MINING ENGINEER) CONSULTANCY SERVICES FOR THE RUTONGO RECOVERY AND TRANSFORMATION PLAN

Trinity Metals Ltd, through Rutongo Mines Ltd, is seeking a highly experienced and independent Project Principal to lead the delivery of the Board-approved Rutongo Recovery and Transformation Plan. The preferred appointment is a degree-qualified senior underground mining engineer and project-delivery consultant, supported by access to a broader specialist consulting team.

The Rutongo Recovery and Transformation Plan is a multi-year, multi-disciplinary program covering ring-fenced capital mine development, resource-definition drilling and exploration, processing plant improvement at Nyamyumba and Karambo, consolidation of the operating footprint, closure and rehabilitation, security and social transition, and environmental and regulatory compliance. The Project Principal will provide the dedicated capacity, integration, discipline and delivery assurance required to convert the approved plan into executed outcomes.

The Project Principal will report directly to the Chief Operating Officer and will work through the General Manager - Rutongo and the Operations Manager - Rutongo, who is the site program lead. The role is an integration, controls and assurance role. It does not carry statutory appointments, operational control, technical sign-off authority, or authority to commit company funds; those accountabilities remain within the Trinity line organisation.

Assignment Overview

• Appointment: dedicated external Project Principal - senior underground mining engineer and project-delivery consultant.
• Reporting line: reports directly to the Chief Operating Officer; day-to-day conduit is the Operations Manager - Rutongo.
• Location model: remote program management with a minimum of one planned Rwanda site visit each calendar month, normally of five working days.
• Initial term: 12 months, with formal reviews at 90 days and six months and an extension option aligned to program needs.
• Location of works: Rutongo Mine, Rwanda, and relevant Trinity Metals Group offices.

Scope of Services

Program mobilisation and baseline control

• Confirm the program charter, objectives, exclusions, governance, delegated authorities and escalation thresholds.
• Reconcile the Recovery Plan into a single work breakdown structure covering mine development, drilling and exploration, processing, footprint consolidation, security, environment, community, HR, finance, procurement and regulatory compliance.
• Validate the production, grade, recovery, development, cost and capital baselines, and document assumptions, gaps and required assurance.
• Establish the integrated master schedule, critical path, dependencies, milestone definitions, resource loading and 90-day look-ahead.
• Establish program cost codes and a controlled baseline for commitments, actuals, accruals, cash flow and forecast-at-completion.
• Implement the risk, issue, change, decision, action, commitments, benefits and assurance registers and the document-control protocol.
• Assess internal and contractor delivery capacity and recommend priority appointments, packaging strategies and owner-side support.

Mining development and operating transition

• Manage integration of the ring-fenced capital-development program, including design readiness, geotechnical controls, crew and fleet allocation, advance targets and cost-per-metre reporting.
• Ensure capital crews, equipment, cost codes and performance measures remain distinct from sustaining-production activities.
• Coordinate the transition from constrained sustaining areas to developed, drilled and prepared stoping inventory at depth, and track development-to-production conversion and months of mineable inventory.

Geology, drilling and exploration

• Coordinate the priority drilling sequence aligned to development and investment decisions.
• Track contracting, procurement, access preparation, core handling, logging, sampling, laboratory capacity, assay turnaround, modelling and interpretation.
• Ensure evidence gates are defined and met before deeper development or capital commitment, and integrate resource-definition and exploration programs with the mine plan and budget.

Processing plant improvement programs

• Maintain the Nyamyumba and Karambo plant-improvement programs as separate, site-specific delivery packages within the integrated program.
• Coordinate scope confirmation, scoping studies, engineering, procurement, civils, installation, commissioning, operational readiness and performance testing.
• Ensure availability improvements are accompanied by mineralogy, size-by-size recovery, fines recovery, water and slurry handling, metallurgical accounting and maintainability requirements.

Footprint consolidation, closure and rehabilitation

• Coordinate multidisciplinary assessment of nominated areas and drive evidence-based recommendations using the approved classifications: Retain and Invest; Care and Maintenance; Suspend Pending Evidence; or Relinquish and Close.
• Maintain an approved closure and transition sequence covering old-opening security, engineered closure, rehabilitation, monitoring, workforce implications, community engagement and regulatory pathways.
• Verify completion evidence and residual-risk ownership for each area transitioned or exited.

Security, social and workforce transition

• Integrate lawful and proportionate security controls with physical closure, community engagement, incident learning and hotspot intelligence.
• Coordinate social baselines, stakeholder engagement, grievance and commitment tracking, livelihood and transition planning and workforce-change requirements.
• Ensure human-rights, legal and reputational considerations are visible in all footprint and security decisions.

Environmental and regulatory delivery

• Integrate the Rwanda Mines Board response into the Recovery Plan schedule and reporting system.
• Track containment and stabilisation works, runoff, stormwater and sediment controls, tailings and process-material containment, waste-rock management, water management and treatment, rehabilitation and monitoring.
• Maintain documentary evidence for regulatory submissions, inspections and quarterly assurance, and escalate immediately any actual or threatened licence issue or material non-compliance.

Commercial, procurement and contractor coordination

• Develop the contracting and procurement plan around the critical path, long-lead items, design maturity and available cash flow.
• Prepare clear scopes, deliverables, interfaces, tender inputs, evaluation criteria and mobilisation requirements for external packages.
• Coordinate vendor and consultant performance, deliverable reviews, variations, claims and close-out, and maintain a commitments register.

Program controls, assurance and change management

• Maintain the approved baseline and measure progress on objective physical completion and evidence, not activity reporting alone.
• Operate a disciplined change-control process for scope, schedule, cost, technical basis, benefits and funding requirements.
• Facilitate stage-gate reviews and confirm that the required technical, operational, environmental, social, financial and legal assurance is complete before irreversible commitments are made.
• Lead recovery planning for forecast slippage, cost pressure, resourcing constraints or underperformance, and maintain an audit trail suitable for Board oversight and regulatory review.

Mentoring and development of local project managers

• Mentor nominated Rutongo project managers and high-potential personnel in project planning, scheduling, cost control, risk and change management, procurement interfaces, contractor management, stage-gate preparation and executive reporting.
• Delegate defined project-management responsibilities progressively, with clear authority, supervision, quality standards and feedback.
• Develop a staged succession and handover plan so that Trinity personnel can independently maintain the integrated schedule, cost forecast, registers, reporting cadence and governance forums by the end of the assignment.

Specialist technical support

• Provide the Project Principal through a consulting organisation or delivery platform able to make suitably qualified specialists available as program needs arise, including mineral processing and metallurgy, resource geology, underground mine planning, geotechnical engineering, hydrology and water management, tailings and waste rock, environmental and social performance, cost engineering, project controls and commissioning.
• Identify specialist needs early and prepare concise task scopes, budgets, deliverables and timing for approval before additional services are mobilised.
• Remain accountable for integrating all specialist inputs into the Recovery Plan, avoiding disconnected reports or parallel workstreams.

Key Deliverables

• Program charter and governance map - within 10 business days of appointment.
• 90-day mobilisation and assurance plan and the program control suite - within 15 business days, maintained weekly.
• Integrated execution baseline (WBS, master schedule, critical path, milestones, resources, cost baseline, cash flow, procurement plan and benefits logic) - within 30 days.
• Local project-manager mentoring and capability-transfer plan - within 30 days, reviewed quarterly.
• Weekly delivery review pack and monthly executive dashboard.
• Monthly site-visit report - within three business days of each visit.
• Quarterly Board and Technical Committee pack, and stage-gate papers before each defined gate.
• Annual integrated plan refresh, and a handover and close-out dossier at completion or transition.

Eligibility and Competency Requirements

Interested parties must:

• Be a degree-qualified mining engineer with a minimum of 15 years of mining-industry experience.
• Have substantial underground operational and capital-development exposure, with demonstrated accountability for complex brownfields, turnaround or mine-recovery programs.
• Have strong African mining experience, including delivery in operating environments with constrained infrastructure, developing systems, diverse workforces and significant social, security and regulatory interfaces.
• Demonstrate sufficient processing, drilling, infrastructure and ESG literacy to integrate specialist work while recognising where discipline-specific technical authority is required.
• Demonstrate proven ability to implement project controls, stage gates, cost and schedule discipline, contractor strategies and executive and Board reporting.
• Demonstrate the independence, practical field orientation and credibility to constructively challenge senior operational and technical personnel, and the ability to work through line management and build local capability without creating a parallel organisation.
• Have direct access to a credible broader consulting team able to provide mineral processing, metallurgy and other specialist services rapidly under separately agreed scopes.
• Confirm availability for the proposed monthly Rwanda travel and remote working cadence.

• A monthly retainer or day-rate structure, clearly separating professional fees, travel time, flights, accommodation and reimbursable expenses.
• Assumptions, exclusions, the mechanism for calling off specialist support, applicable rates and any proposed supporting resources.
• Two relevant client references.
• Confirmation of independence, conflicts of interest, insurance and the ability to comply with Trinity Metals policies.
• Relevant certifications, registrations and statutory company documents.
